Cube Infrastructure Managers is an independent Luxembourgish infrastructure investor, and Clio Fiber srl is an innovative company that focuses on the construction of ultra-modern FTTH networks in rural and semi-urban areas in Southern Italy. CEBF invested via a Luxembourg joint venture, sponsored by ClioCom (together with its affiliate FibraSalento), an Italian internet service provider.
Our team, alongside Francesca Morra, Herbert Smith Freehills partner in the Milan office (head of the energy & infrastructure practice) and Giacomo Gavotti, senior associate both advising on Italian law aspects, assisted Cube Infrastructure Managers on Luxembourg aspects in connection with the drawing up of the investment agreement, the setting up of the Luxembourg JV, the governing, the financing terms and the management incentive plan.
CEBF is the first investment platform making broadband and digital infrastructure investments from both private and public investors supported by the European Fund for Strategic Investment (EFSI) and Clio Fiber marks the CEBF’s tenth investment since its launch. The fund has so far committed circa €300m in FTTH infrastructure projects across Europe with more to come.
The project is set to become one of the most important FTTH infrastructure projects in Southern Italy and will enable the deployment of state-of-the-art FTTH infrastructure to connect rural and semi-rural communities.
